Welcome to CoLecture, a service provided by Roth Advisory, K\u00fcfergasse 2, 6315 Ober\u00e4geri, Switzerland (CHE-241.687.317)<\/strong> (\u201cCoLecture\u201d, \u201cwe\u201d, \u201cus\u201d or \u201cour\u201d).<\/p>\n

These General Terms and Conditions (\u201cGTC\u201d) govern the use of the CoLecture website, platform and services. By using our services or purchasing a service, the customer accepts these GTC.<\/p>\n

1. Scope<\/h2>\n

These GTC apply to all services offered by CoLecture, in particular AI-assisted applications for creating and editing teaching, learning and presentation materials, the processing of sources and content provided by customers, the creation of slide decks, events, training, consulting services and other related services.<\/p>\n

They govern the contractual relationship between CoLecture and the respective users or customers (\u201cCustomer\u201d).<\/p>\n

Supplementary or deviating agreements may be concluded for individual services or institutional customers. In the event of a conflict, such individually agreed provisions shall take precedence over these GTC.<\/p>\n

2. CoLecture Services<\/h2>\n

CoLecture offers services in particular in the following areas:<\/p>\n

    \n
  • AI-assisted creation and editing of teaching, learning and presentation materials;<\/li>\n
  • creation and editing of slide decks and other educational content;<\/li>\n
  • processing and incorporation of sources, documents and materials provided by the Customer;<\/li>\n
  • organisation and delivery of events and presentations for educational institutions;<\/li>\n
  • consulting, training and support relating to the use of AI in teaching and educational environments.<\/li>\n<\/ul>\n

    Depending on the service, the Customer may provide its own content, documents, presentations, templates, literature, sources, images, data, instructions or other materials as a basis for the processing and creation of content.<\/p>\n

    Services are generally provided digitally or remotely unless expressly agreed otherwise.<\/p>\n

    The specific scope of each service is determined by the relevant service description, offer, order or individual agreement.<\/p>\n

    3. Customer Content and Provided Sources<\/h2>\n

    3.1 Customer Content<\/h3>\n

    \u201cCustomer Content\u201d means all content, data, documents, files, texts, images, presentations, templates, literature, sources and other materials that the Customer provides, uploads, enters, links to or has processed through the CoLecture services.<\/p>\n

    3.2 Rights to Customer Content<\/h3>\n

    The Customer retains all rights it holds in its Customer Content.<\/strong><\/p>\n

    Uploading, transmitting or otherwise providing Customer Content does not transfer any copyrights, ownership rights or other intellectual property rights to CoLecture or Roth Advisory.<\/p>\n

    To the extent that Customer Content contains or is subject to third-party rights, those rights remain with the respective rights holders.<\/p>\n

    3.3 Customer Responsibility for Required Rights<\/h3>\n

    The Customer is responsible for ensuring that it is entitled to use the Customer Content for the intended purpose, provide it to CoLecture and have it processed by CoLecture as part of the services.<\/p>\n

    By providing Customer Content, the Customer confirms that it has all rights, licences, consents and other authorisations required for the intended use and processing.<\/p>\n

    Where applicable, this includes in particular copyrights and usage rights, database rights, trademark rights, personality rights, data protection authorisations and any required contractual, institutional or other permissions.<\/p>\n

    The Customer does not necessarily have to be the copyright owner of the Customer Content. However, the Customer must be entitled, on the basis of a licence, consent, statutory permission or other legal basis, to use the relevant content to the intended extent and to have it processed by CoLecture.<\/p>\n

    The mere fact that content is publicly accessible or can be found on the internet does not mean that it may be used, modified, published or otherwise exploited without the appropriate authorisation.<\/p>\n

    3.4 Limited Licence Granted to CoLecture<\/h3>\n

    The Customer grants CoLecture, for the duration and to the extent necessary for the provision of the services, a non-exclusive, royalty-free right to store, retrieve, reproduce, technically modify, analyse and otherwise process the Customer Content insofar as this is necessary to provide the services requested by the Customer.<\/p>\n

    This includes, in particular, processing by automated systems and AI systems and, where necessary for the provision of the services, by technical service providers engaged by CoLecture.<\/p>\n

    This licence is granted solely for the purpose of providing and technically enabling the services. It does not transfer ownership, copyright or any other intellectual property rights to CoLecture or Roth Advisory.<\/p>\n

    Customer Content will not be used to train CoLecture\u2019s own general-purpose AI models unless the Customer has expressly consented to such use.<\/p>\n

    4. Publication and Public Availability<\/h2>\n

    CoLecture does not make Customer Content publicly available merely because it has been provided to CoLecture.<\/p>\n

    Where the Customer uses a function or expressly instructs CoLecture to publish, share, distribute or otherwise make Customer Content or content created or derived from it publicly available, the Customer is responsible for ensuring that it has the necessary rights and authorisations to do so.<\/p>\n

    This applies in particular to copyrighted works, licensed literature, images, presentations, teaching materials, institutional content and other third-party content.<\/p>\n

    For content subject to Creative Commons, Open Content, Open Source, copyleft or comparable licences, the Customer is responsible for complying with the applicable licence terms.<\/p>\n

    Such terms may include, in particular, requirements regarding attribution or source citation, identification of the applicable licence, disclosure of modifications, distribution under the same licence terms, or restrictions relating to modification or commercial use.<\/p>\n

    CoLecture assumes no responsibility for determining whether the publication or public availability of Customer Content requested by the Customer complies with the applicable rights and licence terms.<\/p>\n

    5. Intellectual Property<\/h2>\n

    5.1 Kundeninhalte<\/h3>\n

    Rights in Customer Content remain with the Customer or the respective rights holders in accordance with Section 3.<\/p>\n

    The processing of Customer Content by CoLecture does not result in CoLecture or Roth Advisory acquiring any rights in the underlying Customer Content.<\/p>\n

    5.2 CoLecture Platform and Existing Intellectual Property<\/h3>\n

    All rights in the CoLecture platform, software, technology, trademarks, designs, user interfaces, methods, systems, templates and other components developed or provided by CoLecture independently of Customer Content remain with Roth Advisory or the respective rights holders.<\/p>\n

    Use of the CoLecture services does not grant the Customer any rights in these components beyond those necessary for the contractual use of the services.<\/p>\n

    5.3 Generated Content and Content Created for the Customer<\/h3>\n

    Where CoLecture creates content for the Customer as part of the services, the Customer receives the right to use, modify and reproduce such content within the scope of the agreed use or the use resulting from the purpose of the contract, unless otherwise agreed.<\/p>\n

    Where such content is based on Customer Content or third-party content, the existing rights of the Customer or third parties remain unaffected.<\/p>\n

    The processing or integration of such content does not result in CoLecture acquiring any rights in the underlying Customer Content or third-party content.<\/p>\n

    To the extent that purely AI-generated components are capable of being protected by copyright or other intellectual property rights at all, the existence, scope or exclusivity of such rights cannot be guaranteed.<\/p>\n

    5.4 Third-Party Content and Sources<\/h3>\n

    The services may incorporate content or information from third-party sources or may be based on such sources.<\/p>\n

    Third-party rights in such content remain unaffected.<\/p>\n

    The Customer is responsible for complying with any required source citations, licence terms and other legal requirements when further using or publishing such content.<\/p>\n

    6. User Obligations<\/h2>\n

    The Customer undertakes to:<\/p>\n

      \n
    • provide complete and accurate information required for the provision of the services;<\/li>\n
    • not use the services for unlawful purposes;<\/li>\n
    • not infringe third-party rights through the use of the services;<\/li>\n
    • provide only Customer Content for which the necessary rights and authorisations exist for the intended use and processing;<\/li>\n
    • comply with applicable licence and usage terms relating to Customer Content and third-party content;<\/li>\n
    • appropriately review generated content and source citations before material use or publication;<\/li>\n
    • not circumvent, interfere with or misuse the platform, its technical systems, or its security and access restrictions.<\/li>\n<\/ul>\n

      The Customer is responsible for the specific use, distribution and publication of the content it provides and of the results it uses.<\/p>\n

      7. Data Protection and Confidential Information<\/h2>\n

      CoLecture processes personal data in accordance with applicable Swiss data protection law and CoLecture\u2019s current Privacy Policy.<\/p>\n

      Customer Content may contain personal data. The Customer is responsible for ensuring that it is entitled to transmit such personal data to CoLecture and to have it processed as part of the selected service.<\/p>\n

      The Customer should not transmit sensitive personal data, trade secrets or other confidential information unless processing such information is necessary for the requested service and legally permissible.<\/p>\n

      Where CoLecture uses external technical service providers or AI services to provide its services, Customer Content may be processed by such service providers to the extent necessary for the provision of the services.<\/p>\n

      Further information regarding the processing of personal data is provided in CoLecture\u2019s Privacy Policy and, where required, in separate data processing agreements.<\/p>\n

      8. AI-Generated Content, Sources and Accuracy<\/h2>\n

      CoLecture uses AI-assisted systems to provide certain services.<\/p>\n

      Despite careful technical implementation, AI-generated content may contain errors, inaccuracies, incomplete information, misinterpretations or incorrect or incomplete source citations.<\/p>\n

      CoLecture strives to provide high-quality and reliable results but does not guarantee the complete accuracy, completeness, timeliness or suitability of generated content for any particular purpose.<\/p>\n

      The Customer is responsible for appropriately reviewing generated content before any material use, distribution or publication. This applies in particular to factual statements, quotations, source citations, literature references and other information whose accuracy is relevant to the intended use.<\/p>\n

      Content generated by CoLecture does not replace professional, academic, legal, medical or other expert review where such review is required due to the intended use.<\/p>\n

      9. Liability<\/h2>\n

      CoLecture is liable within the scope of mandatory statutory provisions.<\/p>\n

      To the extent permitted by law, liability for slight negligence as well as for indirect damages, consequential damages, loss of profit and loss of data is excluded.<\/p>\n

      In particular, CoLecture does not warrant that AI-generated content will be entirely error-free, complete, current or suitable for a particular educational, research or business purpose.<\/p>\n

      The Customer is responsible for ensuring that it is entitled to provide and have its Customer Content processed as intended and, where applicable, to publish, distribute or otherwise use such content.<\/p>\n

      To the extent permitted by law, CoLecture shall not be liable for third-party claims arising from Customer Content having been provided, processed, used, published or distributed without the necessary rights, licences, consents or other authorisations.<\/p>\n

      CoLecture is generally not obliged to verify, prior to processing, whether the Customer holds the necessary rights in the Customer Content provided.<\/p>\n

      CoLecture reserves the right not to process Customer Content or to restrict access to certain content or services where there are concrete indications of unlawful use or an infringement of third-party rights.<\/p>\n

      Cases of intentional or grossly negligent breach of duty by CoLecture and other mandatory statutory liability provisions remain reserved.<\/p>\n

      10. Prices, Payment, Cancellations and Refunds<\/h2>\n

      Prices and payment terms are determined by the relevant offer, order, service description or individual agreement.<\/p>\n

      For digital services created individually or at the Customer\u2019s request, there is generally no entitlement to a refund once CoLecture has begun providing the agreed service, unless mandatory law or an individual agreement provides otherwise.<\/p>\n

      Different payment, termination, cancellation or refund terms may be agreed for institutional customers or specific services.<\/p>\n

      11. Availability and Changes to the Services<\/h2>\n

      CoLecture endeavours to provide its digital services reliably. However, uninterrupted and error-free availability at all times is not guaranteed.<\/p>\n

      Maintenance work, technical disruptions and outages or restrictions affecting third-party providers may temporarily impair availability.<\/p>\n

      CoLecture may further develop, modify or discontinue individual platform functions and services, provided that expressly agreed existing services are not unreasonably impaired as a result.<\/p>\n

      12. Changes to These GTC<\/h2>\n

      CoLecture may amend these GTC, in particular as a result of legal or regulatory changes, technical developments, new functionality or changes to the services offered.<\/p>\n

      The current version will be published on the CoLecture website.<\/p>\n

      Material changes that significantly affect ongoing contractual relationships will be communicated to the affected Customers in an appropriate manner.<\/p>\n

      For individual orders already concluded, the terms agreed at the time of conclusion generally continue to apply unless a subsequent amendment has been validly agreed or mandatory law provides otherwise.<\/p>\n

      13. Severability<\/h2>\n

      If individual provisions of these GTC are wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.<\/p>\n

      Where necessary and legally permissible, the parties shall replace the invalid or unenforceable provision with a valid provision that comes as close as possible to the economic purpose of the original provision.<\/p>\n

      14. Governing Law and Jurisdiction<\/h2>\n

      These GTC and the contractual relationship between CoLecture and the Customer are governed by Swiss law, excluding its conflict-of-law provisions, to the extent permitted by law.<\/p>\n

      The place of jurisdiction shall be, to the extent permitted by law, Zug, Switzerland<\/strong>.<\/p>\n

      Mandatory statutory places of jurisdiction remain reserved.<\/p>\n
